Terms of Service for LucidForms

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," "you," or "your") and LucidForms ("we," "our," or "us"), governing your access to and use of our website at https://lucidforms.co, developer APIs, backend endpoints, form processing workers, and associated web services (collectively, the "Service").

By creating an account, connecting an API, configuring form action endpoints, or otherwise using LucidForms, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Service.

2. Eligibility & Account Registration

• Age Requirements: You must be at least 18 years old or the legal age of majority in your jurisdiction to open an account and use the Service.
• Account Integrity: You agree to provide accurate, current, and complete registration details (via Google Sign-In or verified email authentication).
• Account Security: You are solely responsible for maintaining the confidentiality of your credentials and API keys, and for all activities that occur under your account. You must immediately notify us of any suspected unauthorized access or security breach.

3. Description of Service & Customer Responsibilities

LucidForms provides form backend infrastructure, including form submission processing, notification delivery (email, webhooks), file attachment handling, spam protection (honeypots, CAPTCHA, AI filtering), and third-party integrations (e.g., Google Sheets, Notion).

Customer Data Controller Responsibilities

When you deploy LucidForms endpoints on your websites, web applications, or digital properties, you act as the Data Controller regarding any personal data collected from your form respondents:

• You are solely responsible for providing adequate privacy notices and securing any legally required consents from respondents under applicable data protection laws (such as GDPR, UK GDPR, and CCPA/CPRA).
• You must ensure your forms do not solicit unlawful data or violate respondents' fundamental privacy rights.
• You determine how long submission entries should be stored and are responsible for downloading, exporting, or purging customer data as required.

4. Acceptable Use Policy & Restrictions

You agree to use LucidForms exclusively for lawful purposes and in strict compliance with these Terms. You shall not:

• Phishing & Fraud: Create deceptive forms intended to steal login credentials, impersonate financial institutions, or execute fraud, phishing, or identity theft schemes.
• Prohibited Data Collection: Solicit, collect, or store raw credit card numbers, payment CVVs, government-issued national identification numbers (e.g., Social Security Numbers), or high-risk protected health records (HIPAA) through unencrypted standard form fields.
• Spam & Unsolicited Communication: Use our auto-responder or notification systems to send unsolicited bulk communications (spam) or abuse transactional email channels.
• System Abuse & Attacks: Interfere with or disrupt the integrity or performance of the Service, conduct denial-of-service (DoS) attacks, probe or scan vulnerabilities without written consent, or configure loopback webhooks that trigger infinite request cascades.
• Malware & Illicit Content: Use file upload endpoints to distribute malware, viruses, trojans, ransomware, or content depicting child sexual exploitation and abuse.

We reserve the right to immediately suspend, throttle, or terminate any account or form endpoint found violating this Acceptable Use Policy without prior notice or refund.

5. Subscriptions, Quotas & Payments

A. Free and Pro Plans

LucidForms offers both free and paid ("Pro") subscription tiers, as well as optional add-on packages (e.g., additional monthly submissions, extra email notification recipients, and expanded file storage). Specific limits, features, and quotas are detailed on our pricing page and inside your dashboard.

B. Merchant of Record & Payment Processing

All payments, subscriptions, taxes, and invoicing are handled securely through our merchant of record and payment partner, Dodo Payments. By subscribing to a paid plan, you authorize Dodo Payments to bill your provided payment method on a recurring billing cycle (monthly or annually) until canceled.

C. Quotas & Overflow Processing

• Free Tier Quotas: When a Free tier account reaches its monthly submission limit, further submissions may be rejected or held until the next billing cycle. Stored submissions on Free tiers are retained for7 days before automated deletion.
• Pro Overflow: For Pro tier users who exceed their plan allocation, submissions may enter an overflow queue to prevent critical data loss, subject to an active subscription or addon upgrade within the grace period (up to 30 days).

D. Cancellations & Refunds

You may cancel your paid subscription at any time directly through your account dashboard. Cancellation takes effect at the end of the current pre-paid billing period, and you will retain access to Pro features until that date. Except where required by applicable consumer protection laws, fees paid are non-refundable.

6. Intellectual Property & Ownership

• Our Intellectual Property: The LucidForms brand, platform codebase, user interfaces, documentation, logos, and trademarks remain the exclusive property of LucidForms and its licensors.
• Your Data & Submissions: You retain complete ownership of all data, text, files, and intellectual property submitted through your forms ("Customer Data"). You grant LucidForms a limited, worldwide, non-exclusive license to process, transmit, and display Customer Data solely to the extent necessary to provide, protect, and maintain the Service.

7. Account Deletion & Data Termination

You can request permanent account deletion at any time via your account settings. Upon requesting deletion:

• Your account enters a 7-day soft-delete grace period, during which automated data ingestion is halted and you may reactivate your account if desired.
• After 7 days, your account, projects, forms, stored submissions, integrations, and files in Cloudflare R2 are permanently and irreversibly purged from our production databases.

8. Service Availability & Modifications

We strive to deliver a highly reliable, low-latency service powered by distributed cloud infrastructure. However, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

We reserve the right to modify, enhance, update, or temporarily suspend features with or without notice for routine maintenance, security patching, or feature upgrades. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCIDFORMS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM DATA LOSS, OR THAT OUR SPAM DETECTION ALGORITHMS AND AI CLASSIFIERS WILL IDENTIFY 100% OF UNWANTED OR HARMFUL SUBMISSIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUCIDFORMS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR:

1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
2. ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
3. ANY DAMAGE RESULTING FROM SERVICE OUTAGES, LOST FORM ENTRIES, THIRD-PARTY INTEGRATION DOWNTIME (SUCH AS GOOGLE SHEETS, NOTION, OR EMAIL DELIVERY DELAYS), OR UNAUTHORIZED ACCESS TO YOUR FORMS.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO LUCIDFORMS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50.00 USD).

11. Indemnification

You agree to defend, indemnify, and hold harmless LucidForms, its officers, directors, contractors, and agents against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use or misuse of the Service; (b) any Customer Data or form submissions collected through your forms; (c) your violation of these Terms or applicable privacy laws; or (d) any dispute between you and a form respondent.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LucidForms operates, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts having jurisdiction over our registered business location.

13. Changes to These Terms

We may update these Terms from time to time. When modifications are made, we will revise the "Last Updated" date at the top of this page. If we make material modifications that adversely affect your rights, we will notify you by email or through an announcement on your user dashboard prior to the changes taking effect. Continued use of the Service after the effective date of any changes constitutes acceptance of the new Terms.
